1. Scope
1.1 The sale of Goods and Services by Easy Hydro (“The Seller”) is governed by these Sales Terms and Conditions (“Terms”). If there is any conflict between these Terms and the specific conditions in the Seller’s quotation (“Seller’s Offer”) accepted by the Purchaser, the latter shall apply.
1.2 A written order (including via email) referring to the Seller’s Offer implies acceptance of these Terms unless otherwise agreed in writing.
2. Orders
2.1 Upon receiving a request for Goods or Services, the Seller will issue a Seller’s Offer outlining scope, price, and specific conditions.
2.2 An Order is confirmed when the Purchaser accepts the Seller’s Offer in writing.
2.3 A contract is formed when the Purchaser accepts the Offer and makes the initial payment within the Offer’s validity.
2.4 The Purchaser is fully liable for incorrect or incomplete specifications.
2.5 Any changes to the order or these Terms must be agreed in writing by both parties.
3. Delivery
3.1 All sales are EXW (ex-works). Transport and insurance are the Purchaser’s responsibility unless otherwise agreed.
3.2 Delivery times are indicative only.
3.3 Risk transfers to the Purchaser once the order is packed and ready for shipping.
3.4 The Seller is not liable for delays caused by Force Majeure or events beyond its control.
3.5 Delays do not entitle the Purchaser to cancel or claim damages.
3.6 Products are packed for standard forklift handling. The Seller is not responsible for transport-related damage.
3.7 Assembly and installation are the Purchaser’s responsibility unless agreed otherwise.
3.8 Optional pre-shipping testing must be agreed in advance and paid upfront.
3.9 Delivery times exclude time required for Purchaser-requested tests.
3.10 Site tests are at the Purchaser’s expense, including travel costs for the Seller’s technicians.
3.11 Delays in accepting delivery (over 10 working days) incur a 1% daily fee based on the item’s value.
3.12 If agreed tests fail, the Seller may retest at their expense or cancel the contract and refund payments.
4. Prices
4.1 Prices exclude tax, duties, packing, and insurance unless otherwise stated.
4.2 If prices rise unexpectedly, the Seller will inform the Purchaser, who may accept the new price or cancel within 7 days for a full refund (for undelivered items).
5. Payments
5.1 Standard terms: 70% on order, 30% upon delivery.
5.2 The Seller will issue invoices for each payment.
5.3 Payment is due within 30 days. Delivery timelines begin only after the first payment is received.
5.4 Late or incomplete payments are considered a serious breach. The Seller may suspend or cancel the contract and retain paid amounts as partial compensation.
5.5 Goods remain the Seller’s property until fully paid.
5.6 Late payments are subject to interest: ECB base rate + 5% annually.
6. Technical and Design Changes
6.1 The Seller is not obliged to modify technical specifications after contract formation.
6.2 The Seller reserves the right to make technical changes without altering the essential features or notifying the Purchaser.
7. Warranty
7.1 A 12-month warranty covers material and construction defects under normal use and maintenance.
7.2 Wear and transport damage are not covered.
7.3 The Seller may repair or replace defective goods at their discretion.
7.4 Defects must be reported within 8 days of delivery (visible) or discovery (hidden).
7.5 Late payment voids the warranty.
7.6 Repairs or replacements are done in the least costly way, as agreed with the Purchaser.
7.7 The warranty is void if:
Goods were tampered with or repaired by unauthorised persons
Installed or used incorrectly
Exposed to aggressive liquids or improper environments
Overloaded or inadequately maintained
Subject to natural wear and tear
7.8 The Seller is not liable for damage caused by defects or delayed interventions under warranty.
8. Documentation
8.1 Product illustrations and descriptions (e.g., drawings, weights) are for information only.
9. Governing Law
9.1 Irish law governs each sale contract.
9.2 Disputes will be resolved under Irish jurisdiction.
(International sales follow the Vienna Convention on the International Sale of Goods.)
